Terms of Service

Acceptance

By installing or using VID.QUEL AI Video Ads (the "App"), the Shopify merchant ("you") agrees to these Terms of Service. If you do not agree, do not install the App.

These Terms form a binding agreement between you and Paprika Inc. ("we", "our").

License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App in connection with your Shopify store for the duration of your installation, subject to these Terms and Shopify's API Terms of Service.

You may not resell, sublicense, reverse-engineer, or otherwise exploit the App outside of normal use within your Shopify store.

Credits and billing

The App uses a credit-based system. Credits are purchased via Shopify Billing API as one-time credit packs or as part of a recurring subscription plan.

Credits are consumed when the App generates an ad video on your behalf. The credit cost per video is disclosed before each generation.

If a generation fails, the credits consumed for that generation are automatically refunded to your balance.

Credits do not expire while the App is installed. Credits are non-refundable once issued, except as required by law or as set out in Shopify's billing terms.

Recurring subscription charges are billed by Shopify on the merchant's regular Shopify invoice. You can cancel at any time from within the App; cancellation takes effect at the end of the current billing cycle.

Acceptable use

You may use the App only with products and content you have the legal right to use.

You may not generate videos for products that violate Shopify's Acceptable Use Policy, including but not limited to: counterfeit goods, illegal substances, weapons, content that infringes intellectual property, or content that is harassing, defamatory, or hateful.

You are solely responsible for the products, descriptions, and images you submit to the App, and for the use of the resulting videos in advertising or marketing.

Generated content

Subject to your compliance with these Terms, you own the videos generated by the App from your product data and may use them for commercial purposes, including paid advertising on TikTok, Instagram, YouTube, and other platforms.

You acknowledge that AI-generated content may include unpredictable elements. You are responsible for reviewing each generated video before publishing it externally.

We retain the right to use anonymized, aggregated usage statistics to improve the service.

No warranty

The App is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the App will be uninterrupted, error-free, or that any specific ad video will achieve any specific business outcome.

Limitation of liability

To the maximum extent permitted by law, our total cumulative liability for any claim arising out of or related to the App is limited to the amount you paid us via Shopify Billing in the 12 months preceding the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost revenue.

Suspension and termination

We may suspend or terminate your access to the App if you breach these Terms, if continued operation poses a security or legal risk, or if Shopify revokes our app distribution privileges.

You may stop using the App at any time by uninstalling it from your Shopify admin. Uninstallation revokes our access tokens and triggers data redaction within 48 hours per Shopify's shop/redact webhook.

Changes to these Terms

We may update these Terms from time to time. The effective date at the top will be updated, and material changes will be notified to merchants in the App. Continued use after the effective date constitutes acceptance.

Governing law

These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-laws principles. Any dispute will be resolved in the courts of Seoul, Republic of Korea, except where mandatory consumer-protection laws of your jurisdiction apply.
